Terms of Service

These Terms of Service ("Terms") govern access to and use of Fibby Ninja (the "Service"), operated by the team behind Fibby Ninja ("Fibby Ninja," "we," "us"). By creating an account, connecting a QuickBooks (or other accounting) company, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and, if applicable, the accounting firm or business you represent ("you," "your firm"). If you do not agree, do not use the Service.

Fibby Ninja lets accounting firms connect accounting platforms — currently QuickBooks Online, with Xero and Zoho Books planned — to an AI assistant (such as Claude or ChatGPT) that the firm already uses, via a remote MCP (Model Context Protocol) connector. Once connected, an authorized team member's own AI client can query the connected company's financial data and generate reports in response to the user's own questions.

Fibby Ninja is a connectivity and access-control layer between your accounting data source and your own AI client. We do not provide accounting, tax, legal, or financial advice, and nothing produced by an AI client through the Service constitutes professional advice.

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account and for promptly notifying us of any unauthorized use. The Service is intended for use by accounting firms, bookkeepers, and similar professionals acting in a business capacity, not for personal, household, or consumer use. You must be at least 18 years old to create an account.

Firm administrators are responsible for managing their team's membership and access levels within the Service, including promptly removing access for team members who leave the firm.

You agree not to:

• Use the Service to access accounting data you are not authorized to access;
• Attempt to circumvent access controls, rate limits, or authentication mechanisms;
• Reverse engineer, scrape, or probe the Service beyond normal use, or interfere with its operation;
• Upload malicious files, or content that infringes a third party's rights or violates law; or
• Use the Service to build a competing product using data or access obtained through it.

When you connect a QuickBooks Online company (or another supported accounting platform) through Fibby Ninja, you authorize the Service to access that company's data via the provider's official API (e.g., Intuit's QuickBooks API), using OAuth credentials you grant.

You, and your firm, are solely responsible for obtaining any permission required from your client before connecting their QuickBooks company (or other accounting data) to Fibby Ninja and to an AI client. This includes complying with your own engagement letters, professional obligations (e.g., AICPA or equivalent confidentiality rules), and any data-handling terms you have agreed to with your client. Fibby Ninja is not a party to, and has no visibility into, the relationship between you and your client, and we rely entirely on you to have the necessary authorization before connecting a client's books.

Use of QuickBooks Online and the Intuit Developer platform is also subject to Intuit's own terms. Fibby Ninja is not affiliated with, endorsed by, or sponsored by Intuit Inc.

Billing is not yet enabled. Fibby Ninja is currently in a free beta / trial period, and no payment is required to use the Service in its current form. We will announce pricing and give advance notice before introducing any paid plans or charging any customer, and nothing in these Terms authorizes us to charge you without your separate agreement to specific pricing at that time. Fibby Ninja and its original content, features, branding, and functionality are owned by Fibby Ninja and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks or branding. You retain all rights to your own data; see our Privacy Policy for how we handle it.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any AI-generated output will be accurate or complete. You are responsible for independently verifying any financial figures or conclusions before relying on them.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIBBY NINJA AND ITS TEAM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100, GIVEN THAT THE SERVICE IS CURRENTLY PROVIDED FREE OF CHARGE.

You may stop using the Service and disconnect your accounting companies at any time from your settings. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, with notice where reasonably practicable. Upon termination, your right to use the Service ends; provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability) will survive.

We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide more prominent notice (e.g., by email or in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
